Terms of use

These terms are a contract between you and HRT DIGITAL LLC, a New Mexico limited liability company with its registered office at 2201 Menaul Blvd NE, Suite A, Albuquerque, NM 87107, United States, operating the service under the name stoq ("stoq", "we"). They cover the stoq app, the website stoq.cash, and the services behind them. By creating an account you accept them. Read them with the Privacy notice, which explains how we handle your information. stoq is not a bank, and nothing here is financial advice.

1. Who provides what

stoq runs the app, your account, your USDC balance, deposits, cashback and the STOQ token features. Identity sign-in is handled by Privy, Inc. Your Visa card is issued by our card partner under its own cardholder agreement, which you accept when you activate a card. Tokenized stocks are issued by their issuers. Trades and swaps settle on the Solana network. Where a third party provides part of the service, that party's terms also apply to that part.

2. Who can use stoq

You must be at least 18, live in a country where we offer the service, hold one account only, and pass identity verification before a card can spend. During early access, a card is activated with a code we give you; codes are personal and may be withdrawn. We may refuse, suspend or close an account where verification fails, where information you gave us is inaccurate, or where the law or our partners require it.

3. Your account and sign-in

You sign in with a code sent to your email, or with Google or Apple, through Privy. Anyone who controls your email, Google or Apple account can reach your stoq account, so keep those secure and tell us at once if you suspect misuse. You may protect the app with Face ID, Touch ID or a passcode; those checks run on your device. We may end a session or require a new sign-in for security.

4. Your balance and deposits

Your balance is held in USDC and shown in US dollars. To add money you send supported assets on the Solana network to the deposit address shown in the app. That address belongs to a wallet that stoq generates and controls on your behalf; it is not your personal wallet. We credit your balance once the network confirms the deposit. Assets other than USDC are converted to USDC at the rate shown in the app at the time of arrival. Deposits sent to the wrong network or in an unsupported asset may be unrecoverable. Bank transfers become available when shown in the app. Your balance is not a bank deposit, earns no interest, and is not covered by any deposit guarantee scheme.

5. Your wallet

When you create an account the app generates a Solana wallet on your device and keeps its private key in your device's secure storage. Only you hold that key; stoq never receives it and cannot recover it. Stock you earn is delivered to that wallet. If you delete the app or lose the device without exporting the key, the wallet and anything in it are lost. The app lets you export the key; anyone who obtains it controls the wallet.

6. Cards

Cards are virtual, issued by our card partner, and can be added to Apple Wallet once activated. You can view your card details after a device check, set a PIN, set a daily limit, and freeze or unfreeze the card. If you report a card lost or stolen we terminate it immediately and you may create a replacement; purchases made before you told us may still be processed. We may decline a purchase where the card is frozen or not activated, the balance is insufficient, a limit is reached, or we suspect fraud or a breach of these terms.

7. Cashback in stock

Each settled purchase earns cashback made of a base rate funded by card interchange and a boost funded by STOQ fees. Both rates are shown in the app before you pay and may change; the rate in force when a purchase settles applies. Cashback is paid as tokenized stock, chosen by the merchant where the match is obvious and otherwise by the stock of the week shown in the app, and delivered to your wallet after settlement, usually within a day. Declined, refunded or reversed purchases earn nothing, and cashback already delivered for a refunded purchase is taken back from your holdings. Where tokenized stocks are not available to residents of your country, cashback is paid in USDC.

8. Tokenized stocks and risk

Tokenized stocks are tokens issued by third-party issuers that track the price of a listed share. Their value can fall as well as rise, they depend on the issuer and on the blockchain, and they may be unavailable in some countries. The prices shown in the app are indicative. We do not give investment, legal or tax advice, and you are responsible for your own tax reporting. The app lets you sell holdings to USDC and withdraw them to another Solana wallet; both are final once submitted.

9. STOQ

STOQ is a utility token. Holding it unlocks card designs and their cashback rates and nothing else. It does not pay interest, yield or dividends, and holding it is not an investment in stoq. Buying and selling STOQ in the app are swaps executed at the price shown; the price can fall to zero.

10. Sending money out

You can send supported assets from your balance to an address you enter. Transfers on a blockchain cannot be reversed. You are responsible for entering the right address on the right network; we cannot recover assets sent elsewhere. Quotes are held for a short time and must be refreshed if they expire. Network fees are shown before you confirm.

11. Fees and limits

Fees and limits are listed in the app under Help and shown again before any action that costs money. We may change them with at least 30 days' notice in the app, except where a change is required by law or by a partner, in which case we give as much notice as we reasonably can.

12. What you must not do

Do not use stoq for anything unlawful, for money laundering, to evade sanctions, on behalf of someone else, for a business through a personal account, or to interfere with the service or other people's accounts. Do not share early access codes. We may freeze cards or accounts while we investigate suspected misuse and may report activity to authorities where the law requires.

13. Closing your account

You can delete your account from Security in the app. Before it closes, withdraw your USDC and stock; we tell you if anything remains. We may close your account with 30 days' notice, or at once where the law, a court, a partner or a serious breach requires. After closure we keep only the records the law obliges us to keep, as described in the Privacy notice.

14. Our responsibility to you

We provide the service with reasonable care and skill. Beyond that, and to the extent the law allows, we are not liable for losses caused by changes in the value of any asset, by blockchain networks or third-party services we do not control, by your loss of a device or wallet key, by your failure to follow these terms, or for indirect losses such as lost profits. Nothing in these terms limits our liability for fraud, for death or personal injury caused by negligence, or for anything that cannot be limited by law. Where liability can be limited, our total liability to you for all claims in any 12-month period is limited to the fees you paid us in that period or 100 US dollars, whichever is higher.

15. If you got the app from the App Store

These terms are between you and stoq only, not Apple, and stoq alone is responsible for the app and its content. Apple has no obligation to maintain or support the app. Your licence to the app is non-transferable and limited to Apple devices you own or control, under the App Store usage rules. If the app fails to meet any warranty, you may tell Apple and Apple will refund any purchase price; Apple has no other warranty obligation. stoq, not Apple, is responsible for any claim relating to the app, including product liability, legal or regulatory compliance, consumer protection and intellectual property claims. You confirm that you are not in a country under a US Government embargo or designated as supporting terrorism, and that you are not on any US Government list of prohibited or restricted parties. You must comply with any third-party terms that apply when you use the app. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

16. Changes, law and contact

We may update these terms. For changes that affect your rights we give at least 30 days' notice in the app; if you keep using stoq after the date given, the new terms apply. These terms are governed by the laws of the State of New Mexico, United States, and disputes go to the courts of Bernalillo County, New Mexico, without affecting any protection you have as a consumer under the law of the country where you live.
